End User License Agreement for Lettering World LLC Typefaces

1.a. Font Software.
Font Software are the fonts, any data and documentation .“Font Software” means coded software that is accompanied by this Agreement or that You are about to order online and which generates typeface designs when used with the appropriate software, plus any and all other data including documentation provided with such software.
1.b. Licensed Office.
An office with licensed computers can have up to five concurrent users.“Licensed Office” means an installation of the Font Software that allows up to five (5) concurrent users to use it at a single geographic location. A single geographic location is in particular the site of Your place of business. The geographic restriction does not apply to portable computers if they are owned by You.
2. Grant of License
2.a. Number of users.
If the number of users exceeds 5, you must buy a license extension. Lettering World LLC grants You a non-exclusive license to use the Font Software in a Licensed Office for Your own personal or business purposes according to the terms of this Agreement. If the number of users who use the Font Software exceeds those set forth in the definition of Licensed Office above, then You must request from Lettering World LLC or its authorized distributors an appropriate license covering all users. An additional fee will be charged for this license extension.
You may embed the font either as an image in a secure format for only viewing and/or printing but not editing. You may embed the Font Software in documents, applications or devices either as a rasterized representation of the Font Software (e. g., a GIF or JPEG) or as a subset of the Font Software as long as the document, application or device is distributed in a secure format that permits only the viewing and printing but not the editing of the text. You need an additional license from Lettering World LLC or its distributors (i) for the use of the Font Software in documents, applications or devices permitting editing of the text, if such documents, applications or devices shall be distributed to third parties or (ii) if the Font Software is embedded neither as a subset nor as a rasterized representation.
You may back up the fonts, as long as they remain in your possession. You may make backup copies of the Font Software for archival purposes only, provided that You retain exclusive custody and control over such copies. Any backup copy of the Font Software must contain the same copyright, trademark, and other proprietary information as the original.
2.d. Service Bureaus.
You may send the font to a commercial printer but they must not edit any files. You may take a digitized copy of the Font Software used in a particular document to a commercial printer or service bureau for outputting this particular document (this document must not be edited by the printer or service bureau). In the event of any modifications to the document or use of the Font Software for other purposes, the printer or service bureau must purchase its own Font Software licenses.
You may not copy the Font Software or allow third parties to copy the Font Software except as granted in 2.b to 2.d. Any allowed copy of the Font Software must contain the same copyright, trademark, and other proprietary information as the originals.
You may not modify the fonts, without our written permission. You may not modify, adapt, translate, reverse engineer, decompile, disassemble, alter, or attempt to discover the source code of the Font Software except as expressly provided for in this Clause 2 and the Definition of Use. If You want to make modifications to the Font Software, You must obtain the prior written consent of Lettering World LLC.
When you buy our fonts from us, you buy the right to use them but you do not own them. The Font Software, and all copies thereof, is protected by the United States Copyright Law, by the copyright and design laws of other nations, and by international treaties. Any copyright, trademark and other rights belong exclusively to Lettering World LLC. You do not gain the ownership of the Font Software or any part hereof under this Agreement. The structure, organization, and the code of the Font Software are trade secrets of Lettering World LLC, and You agree to treat them as such.
4. Transfer of License
You may not rent or lease the fonts to others. Except as expressly provided herein, You may not give, rent or lease the Font Software or parts of it to third parties. You may transfer all Your rights to use the Font Software and Documentation to another person or legal entity provided that (i) the transferee accepts and agrees in writing (with copy to Lettering World LLC) to be bound by all the terms and conditions of this Agreement, and (ii) You destroy all copies of the Font Software and Documentation, including all copies stored in the memory of a hardware device. Without limiting the generality of the foregoing, You agree that You will not distribute or disseminate all or any part of the Font Software through any online service.
5. Limitation of Liability
If a problem arises, we may replace or refund. If the Font Software does not perform substantially in accordance with the pertaining documentation, the entire and exclusive liability of Lettering World LLC shall be limited to either, at Lettering World LLC’s option, the replacement of the Font Software or the refund of the license fee You paid for the Font Software. Lettering World LLC and its suppliers do not warrant the performance or results You may obtain by using the Font Software. Lettering World LLC and its suppliers make no warranties express or implied, as to non-infringement of third party rights, merchantability, or fitness for any particular purpose. In no event will Lettering World LLC or its suppliers be liable to You for any consequential, incidental or special damages, including any lost profits or lost savings, even if a Lettering World LLC representative has been advised of the possibility of such damages, or for any claim by any third party. This warranty does not affect any claims You might have against Your retailer.
If you do not follow our terms, we may terminate your license at any time and you must also destroy copies of the fonts. Lettering World LLC has the right to terminate Your license immediately if You fail to comply with any term of this Agreement. Upon termination, You must destroy the original and any copies of the Font Software and documentation.
7. General Provisions
You agree to inform all users who have legitimate access to the Font Software about the content of this Agreement and to make sure that they comply with the terms of this Agreement. This Agreement and this writing requirement may only be modified in writing signed by an authorized officer of Lettering World LLC. If any part of this Agreement is found void and unenforceable, it will not affect the validity of the balance of the Agreement, which shall remain valid and enforceable according to its terms.
8. Governing Law
This Agreement will be governed by the laws of the state of Kansas. This Agreement will not be governed by the United Nations Convention of Contracts for the International Sale of Goods, the application of which is expressly excluded.

This is a license agreement between you and LetteringWorld.com that explains how you can use photos, illustrations and vector art that you license from LetteringWorld.com. By purchasing content from LetteringWorld.com, you accept the terms of this agreement.
HOW CAN I USE THIS LICENSED CONTENT?
You may use content in digital format on websites, blog posts, social media, advertisements, film and television productions, web and mobile applications. Also in printed materials such as magazines, newspapers, books, brochures, flyers, product packaging for decorative use in your home, office or any public place or personal use.
WHAT ARE THE RIGHTS GRANTED TO YOU BY LETTERINGWORLD.COM?
Perpetual, meaning there is no expiration or end date on your rights to use the content. Non-exclusive, meaning that you do not have exclusive rights to use the content. LetteringWorld.com can license the same content to other customers. Unlimited, meaning you can use the content in an unlimited number of projects and in any media.
For purposes of this agreement, “use” means to copy, reproduce, modify, edit, synchronize, perform, display, broadcast, publish, or otherwise make use of.

No Unlawful Use. You may not use content in a pornographic, defamatory or other unlawful manner.
No Standalone File Use. You may not use content in any way that allows others to download, extract, or redistribute content as a standalone file (meaning just the content file itself, separate from the project or end use).
No Use in Trademark or Logo. You may not use content as part of a trademark, design mark, tradename, business name, service mark, or logo.
Sensitive Use Disclaimer Required. If you use content that features models or property in connection with a subject that would be unflattering or unduly controversial to a reasonable person (for example, sexually transmitted diseases), you must indicate: (1) that the content is being used for illustrative purposes only, and (2) any person depicted in the content is a model. For example, you could say: “Stock photo. Posed by model.” No disclaimer is required for “editorial use only” content that is used in an editorial manner.
No Products for Resale. You may not use content in connection with any goods or services intended for resale or distribution where the primary value lies in the content itself including, without limitation, cards, stationery items, paper products, calendars, apparel items, posters (printed on paper, canvas, or any other media), CDs, DVDs, mobile applications or other items for resale, license or other distribution for profit. This includes “on demand” products (meaning products in which content is selected by a third party for customization on such product on a made-to-order basis), including, without limitation, postcards, mugs, t-shirts, posters and other items (this includes the sale of products through custom designed websites, as well as sites such as zazzle.com and cafepress.com)
No Electronic Templates. You may not use content in electronic or digital templates intended for resale or other distribution (for example, website templates, business card templates, electronic greeting card templates, brochure design templates).
No False Representation of Authorship. You may not falsely represent that you are the original creator of a work that is made up largely of licensed content. For instance, you cannot create a painting or deviation/manipulation based on licensed content and claim that you are the author.
INTELLECTUAL PROPERTY RIGHTS.
Who owns the content? All of the licensed content is owned by either LetteringWorld.com or the artists who supply the content. All rights not expressly granted in this agreement are reserved by LetteringWorld.com and the content suppliers.
Do I need to include a photo credit? You do not need to include a photo credit for commercial use, but if you are using content for editorial purposes, you must include the following credit adjacent to the content or in audio/visual production credits: “LetteringWorld.com/Artist’s Name.”
Do I need to include an audio and/or video credit? Yes, if technically feasible, you must include the following credit in audio or audio/visual productions: “LetteringWorld.com/Artist’s Name.”
Termination. a. This agreement is effective until it is terminated by either party. You can terminate this agreement by ceasing use of the content and deleting or destroying any copies. LetteringWorld.com may terminate this agreement at any time if you fail to comply with any of the terms, in which case you must immediately: cease using the content; delete or destroy any copies; and, if requested, confirm to LetteringWorld.com in writing that you have complied with these requirements.
Social Media Termination. If you use the content on a social media platform or other third party website and the platform or website uses (or announces that it plans to use) the content for its own purpose or in a way that is contrary to this agreement, this agreement shall immediately terminate.
Content Withdrawal. LetteringWorld.com may discontinue licensing any item of content at any time in its sole discretion. Upon notice from LetteringWorld.com, or upon your knowledge, that any content may be subject to a claim of infringement of a third party’s right for which LetteringWorld.com may be liable, LetteringWorld.com may require you to immediately, and at your own expense: cease using the content, delete or destroy any copies; and ensure that your clients, distributors and/or employer do likewise.
No Representations. The content is provided “as is” without representation, warranty or condition of any kind, either express or implied, including, but not limited to, implied representations, warranties or conditions of merchantability, or fitness for a particular purpose. You understand that LetteringWorld.com has not made any representation or warranty that your use of the content will not infringe or violate the trademark rights of any third party. LetteringWorld.com does not grant any right or make any warranty with regard to the use of names, people, trademarks, trade dress, logos, registered, unregistered or copyrighted audio, designs, works of art or architecture depicted or contained in the content. It is your sole responsibility to make sure that you have all the necessary rights, consents and licenses for the use of the content.
INDEMNIFICATION/LIMITATION OF LIABILITY.
Indemnification of LetteringWorld.com by you. You agree to defend, indemnify and hold harmless LetteringWorld.com and its parent, subsidiaries, affiliates, and content suppliers, and each of their respective officers, directors and employees from all damages, liabilities and expenses (including reasonable outside legal fees) arising out of or in connection with any breach or alleged breach by you (or anyone acting on your behalf) of any of the terms of this agreement.
Limitation of Liability. LETTERINGWORLD.COM WILL NOT BE LIABLE TO YOU OR ANY OTHER PERSON OR ENTITY FOR ANY PUNITIVE, SPECIAL, INDIRECT, CONSEQUENTIAL, INCIDENTAL OR OTHER SIMILAR DAMAGES, COSTS OR LOSSES ARISING OUT OF THIS AGREEMENT, EVEN IF LETTERINGWORLD.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, COSTS OR LOSSES. SOME JURISDICTIONS DO NOT PERMIT THE EXCLUSION OR LIMITATION OF IMPLIED WARRANTIES OR LIABILITY.
Assignment. This agreement is personal to you and is not assignable by you without LetteringWorld.com’s prior written consent. LetteringWorld.com may assign this agreement, without notice or consent, to any corporate affiliate or to any successor in interest, provided that such entity agrees to be bound by these terms.
Governing Law/Arbitration. This agreement will be governed by the laws of the State of Kansas, U.S.A., without reference to its laws relating to conflicts of law. Any disputes arising from or related to this agreement shall be finally settled by binding, confidential arbitration by a single arbitrator selected using the rules and procedures for arbitrator selection under the Commercial Rules of the American Arbitration Association ("AAA") or of the International Centre for Dispute Resolution ("ICDR") in effect on the date of the commencement of arbitration (the applicable rules to be at your discretion) to be held in one of the following jurisdictions (whichever is closest to you): Seattle, Washington; New York, New York; Los Angeles, California; London, England; Paris, France; Frankfurt, Germany; Tokyo, Japan; or Singapore. The arbitration proceedings shall be conducted in English and all documentation shall be presented and filed in English. The decision of the arbitrator shall be final and binding on the parties, and judgment may be entered on the arbitration award and enforced by any court of competent jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not govern this agreement. LetteringWorld.com shall also have the right to commence and prosecute any legal or equitable action or proceeding before any court of competent jurisdiction to obtain injunctive or other relief against you in the event that, in the opinion of LetteringWorld.com, such action is necessary or desirable. The parties agree that, notwithstanding any otherwise applicable statute(s) of limitation, any arbitration proceeding shall be commenced within two years of the acts, events or occurrences giving rise to the claim.
Entire Agreement. No terms of conditions of this agreement may be added or deleted unless made in writing and accepted in writing by both parties, or issued electronically by LetteringWorld.com and accepted in writing by you. In the event of any inconsistency between the terms of this agreement and the terms contained on any purchase order sent by you, the terms of this agreement will apply.
Notice. All notices required to be sent to LetteringWorld.com under this agreement should be sent via email to firstname.lastname@example.org. All notices to you will be sent via email to the email set out in your account.
Licensing Entity. The licensing entity under this agreement shall be Lettering World LLC.
